LEGAL
Terms of Service
These terms are an agreement between you and Rhoads Technologies for the use of Aizu. Please read them. By creating an account or using the Service, you agree to them.
1. The agreement
These Terms of Service (“Terms”) govern your use of Aizu, including getaizu.com, login.getaizu.com, each workspace address, and related emails and support (the “Service”), provided by Rhoads Technologies (“we”, “us”).
If you use the Service on behalf of a company or other organization, you agree to these Terms for that organization and confirm that you have authority to do so. In that case “you” and “Customer” mean that organization. If your organization has signed a separate agreement or order form with us, that document controls where it differs from these Terms.
You must be at least 18 years old to use the Service. Our Privacy Policy explains how we handle personal information and forms part of these Terms.
2. Accounts and workspaces
- Information is organized in workspaces. The person who creates a workspace, and anyone they make an owner or administrator, controls it: who can join, what role each member has, which tools are connected, and its plan and billing.
- Keep your sign-in details secure and accurate, and tell us promptly at info@rhoadstechnologies.com if you believe your account has been compromised.
- Customer is responsible for the activity of the members it invites and for making sure their use of the Service follows these Terms.
- If your organization sets up single sign-on, its identity provider controls how members sign in to its workspace.
3. Plans, billing and cancellation
Free
The Free plan includes the core features described on our pricing page at no charge. We may change what the Free plan includes, or set reasonable usage limits, with notice.
Team
- The Team plan is billed monthly, in advance, per active member, at the price shown on our pricing page when you subscribe. Payments are processed by Stripe.
- Your number of paid seats follows your workspace's active members. When members are added or removed, the seat count is adjusted and the charge is prorated for the rest of the billing period.
- Your subscription renews automatically each month until it is cancelled. A workspace owner or administrator can cancel at any time from the workspace's billing settings. Cancellation takes effect at the end of the current billing period, after which the workspace moves to the Free plan.
- Fees are non-refundable, including for partial months, except where the law requires otherwise.
- Prices don't include taxes. You are responsible for any sales, use, value-added or similar taxes that apply to your purchase.
- If a payment fails, we and Stripe will retry it. If it still can't be collected, the workspace may be moved to the Free plan.
- We may change Team pricing with at least 30 days' notice. The change applies from your next billing period after the notice period, and you may cancel before it takes effect.
Enterprise
Enterprise plans are provided under an order form or agreement that sets out the price, term, invoicing and any additional commitments. These Terms apply to Enterprise use except where that document says otherwise.
4. Your content
- You own it. As between you and us, Customer owns all information and files that it and its members add to the Service, or that the Service reads from tools Customer connects (“Customer Content”).
- Our permission to use it. You give us permission to host, store, copy, process, transmit and display Customer Content only as needed to provide, secure and support the Service for you, and as you direct through the Service. We don't sell Customer Content or use it to train AI models.
- Your responsibilities. You confirm that you have the rights and permissions needed to put Customer Content into the Service and to have us process it, including any personal information it contains.
- Usage information. We may collect information about how the Service is used, such as the number of members, initiatives and connections in a workspace, and use it to operate, support and improve the Service. We won't disclose it in a form that identifies you or your organization without permission.
- Getting your content out. While your subscription is active, you can export or copy your Customer Content using the Service's features. Contact us if you need help.
5. Connected tools
The Service can connect to tools provided by others, such as Jira, Azure DevOps, Linear, GitHub, Slack and Microsoft Teams. When you connect one, you authorize us to access it with the credentials or permissions you provide, and to exchange information with it as the Service is designed to do. Those tools are provided by their own companies under their own terms. We aren't responsible for them, for changes they make that affect the connection, or for how they handle information.
6. Acceptable use
You agree not to, and not to let others:
- use the Service in a way that breaks the law or infringes anyone's rights;
- upload malicious code, or content you don't have the right to share;
- try to access another organization's workspace or data, or get around security, sign-in or usage limits;
- overload, disrupt or interfere with the Service or the systems that run it;
- reverse engineer the Service, except where the law allows it despite this restriction;
- resell or offer the Service to third parties as a service of your own, without our written agreement;
- use the Service to build a competing product, or copy its features or design for that purpose;
- scrape the Service or collect information from it with automated tools other than the interfaces we provide.
7. Our property
The Service, including its software, design and documentation, the Aizu name and logo, the PROVE method and our articles and other website content, belongs to Rhoads Technologies and is protected by law. These Terms give you the right to use the Service while you follow them, and no other rights. If you send us suggestions or feedback, we may use them without any obligation to you.
8. Confidentiality
Each of us may share non-public information with the other that is marked as confidential or that should reasonably be understood to be confidential. The receiving party will protect it with reasonable care, use it only for the purposes of these Terms, and share it only with people who need to know it and are bound to keep it confidential. This doesn't apply to information that is or becomes public through no fault of the receiving party, that the receiving party already had or developed on its own, or that it received lawfully from someone else. Either party may disclose confidential information if the law requires it, after giving the other notice where allowed. Customer Content is Customer's confidential information.
9. Suspension and ending these Terms
- You can stop using the Service at any time. To delete a workspace and its content, a workspace owner can contact us.
- We may suspend access to a workspace or account if payment is overdue, if we reasonably believe it is being used in breach of section 6 or in a way that threatens the security of the Service or other customers, or if the law requires it. We will give notice and a chance to fix the problem where that is practical, and will restore access once it is resolved.
- Either of us may end these Terms if the other materially breaches them and doesn't fix the breach within 30 days of written notice.
- We may stop offering the Service with at least 60 days' notice, and will refund any fees you have prepaid for the period after it ends.
- When an account or workspace is closed, you can ask us for a copy of its Customer Content within 30 days. After that, we delete it as described in our Privacy Policy.
- Sections 4 (except our permission to use Customer Content), 7, 8, 10, 11, 12 and 14 continue after these Terms end.
10. Disclaimers
We work to keep the Service available, secure and accurate. However, the Service is provided “as is” and “as available”, and, to the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We don't promise that the Service will be uninterrupted or error-free.
Aizu helps your organization record evidence and make decisions. It doesn't make decisions for you. Rankings, scores, assessments and other outputs depend on the information you provide, and your organization remains responsible for the decisions it makes and for checking the information it relies on.
Features we label as preview, beta or pilot may change or be withdrawn and are provided without any commitment.
11. Limitation of liability
To the extent the law allows:
- Neither of us will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, even if told they were possible.
- Each party's total liability arising out of or relating to these Terms is limited to the greater of the amount Customer paid us for the Service in the 12 months before the event giving rise to the claim, or US $100.
- These limits don't apply to Customer's obligation to pay fees, to either party's breach of section 8, to Customer's obligations under section 12, or to liability that the law doesn't allow to be limited.
12. Responsibility for claims
Customer will defend Rhoads Technologies against any claim by a third party arising from Customer Content or from Customer's use of the Service in breach of these Terms, and will pay any resulting damages and reasonable costs awarded against us or agreed in a settlement Customer approves. We will notify Customer promptly of any such claim, let Customer control its defense, and cooperate reasonably.
13. Changes to these Terms
We may update these Terms. We will post the new version here with a new date. If a change is material, we will tell workspace owners by email or in the Service at least 30 days before it takes effect, unless the change is required by law or to address security, in which case it may take effect sooner. If you continue to use the Service after a change takes effect, you accept the updated Terms. If you don't agree, stop using the Service and cancel your subscription.
14. General
- Governing law. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to them will be brought only in the state or federal courts located in Harris County, Texas, and each party consents to those courts' jurisdiction.
- Notices. We will send notices to the email address on your account. You can send notices to info@rhoadstechnologies.com.
- Assignment. Neither party may transfer these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its relevant business or assets.
- Events beyond our control. Neither party is liable for a delay or failure caused by events beyond its reasonable control, other than a failure to pay.
- Independent parties. We are independent contractors. These Terms don't create a partnership, employment or agency relationship.
- Export and sanctions. You agree to comply with US export control and sanctions laws in your use of the Service.
- Whole agreement. These Terms, the Privacy Policy and any order form are the entire agreement about the Service. If any part is found unenforceable, the rest remains in effect. Not enforcing a provision isn't a waiver of it.
